CONSTITUTION AND BYLAWS

ARTICLE l – NAME

The name of this organization shall be Miami Music Teachers Association, Inc. It is affiliated with the Florida State Music Teachers Association and the Music Teachers National Association, hereinafter referred to as FSMTA and MTNA. 

ARTICLE ll – OBJECT 

The object of this Association shall be to advance the interest of music and musicians, to raise the standard of music teaching, and to promote true culture by the interchange of ideas. 

ARTICLE III – MEMBERSHIP 

Membership shall consist of four classifications: 

(a) ACTIVE, which shall be open upon application to any person who is, or has been, professionally engaged in the teaching of music. Active members are accorded the privileges of participation in the activities of this Association, eligibility to attend conferences, the right to vote, the right to hold office of any kind and to apply for certification. 

(b) ASSOCIATE, which shall include any persons interested in the advancement of music who are not presently teaching, and who wish to support the association. Associate Membership shall provide all the privileges of Active Membership except the right to vote and hold state office.

(c) SENIOR, which shall be open to Active teachers 70 years of age or older, at a 50% reduction in dues. 

(d) COLLEGIATE open to all college music students. 

Collegiate membership shall provide privileges of participation in the activities of the Association except the right to vote and hold office. These members may enter students in MMTA competitions.

Upon graduation from college, MTNA student members may upgrade to Active membership status and receive a 50% reduction in national and state dues for a period of one year. 

ARTICLE IV – FEES AND DUES

Section 1.
The fiscal year shall be from June 1 through May 31 

Section 2. All members shall adhere to the schedule of dues set by MMTA, FSMTA and MTNA. 

Section 3. All dues are payable by June of each year and become delinquent July 1. Names of MMTA members whose dues are postmarked after June 30 will not be included in the MMTA Yearbook. 

ARTICLE V – EXECUTIVE BOARD

Section 1. The Executive Board shall consist of the duly elected officers of the Association and Directors. 

Section 2. Each retiring President of the Association shall automatically become a Director for life. The duties of the Directors shall be advisory, particularly to the incoming President and new officers. The Directors shall have full voting privileges; they shall also serve on the Ethics Committee, together with a chairperson appointed by the President. 

Section 3. The business of the Association shall be transacted by the Executive Board. 

Section 4. The Executive Board shall have power to fill all vacancies occurring in its membership during the fiscal year. 

Section 5. Six members of the Executive Board shall constitute a quorum. 

ARTICLE VI – OFFICERS AND THEIR DUTIES 

Section 1. The elective officers shall be President, Vice-President for Programming, Vice -President for Membership and Yearbook, Vice-President for Publicity, Recording Secretary, Corresponding Secretary and Treasurer.

Section 2. The President shall preside at all meetings of the Association and of the Executive Board; shall appoint chairmen of all committees and be advisory member of each committee; shall make pro-term appointments to fill vacancies until a meeting of the Association or Executive Board shall be held. The Recording Secretary shall keep a record of the proceedings of the Association and the Executive Board, keep a record of attendance, and be present at all meetings to read the minutes. The Corresponding Secretary shall attend to all correspondence pertaining to the activities of the Association. The Treasurer shall receive all money, make all necessary payments, shall keep an account of all dues paid in, and make a detailed written report for all board meetings.

ARTICLE VII – ELECTION OF OFFICERS 

Section 1. At the regular January meeting in odd numbered years the President shall appoint a committee of three members to nominate officers to serve for the next two years. Nominations may be made from active members during the month of January in the election year. Such nominations should be presented to the election committee. Election of officers shall follow immediately. The newly elected board members and their positions should be emailed to all active members. After receiving this notification, active members will have two weeks to inform the election committee of any objection. Final decision will be subject to a new vote by the executive board. 

Section 2. No member shall be eligible for the same office for two successive two-year terms with the exception of the Treasurer. Any member may be re- elected to the same office after a lapse of two years. 

Section 3. The newly elected officers shall be installed and assume their respective duties immediately thereafter. Both outgoing and incoming officers will attend the Board Installation.

ARTICLE VIII – MEETINGS 

Section 1. General meetings shall be held each year at the discretion of the Executive Board or at the request of ten Active members of good standing.

Starting in January 2023, MMTA teachers will be able to attend the 2 required events in an extended period from January to December of the year prior to entering students in the Honors and Scholarships Auditions. It is the member’s responsibility to sign up the attendance form when attending an event. The application form to enter students will require teachers to state the dates when they attended the 2 events. MMTA will not provide this information to teachers if they don’t keep this record themselves. Chairperson will verify attendance to accept the application form.
As an alternative to meet this requirement, MMTA teachers may enroll a minimum of 2 students in the Fall Recital and/or Spring Recital. Each Recital counts towards 1 attendance requirement.

Section 2. Twelve Active members in good standing shall constitute a quorum. 

ARTICLE IX DELEGATES 

Section 1. By virtue of the office, the President shall be a delegate to all conventions deemed advisable by the Executive Board. 

Section 2. The payment of necessary expenses incurred as a delegate shall be voted by the Executive Board. 

Section 3. A second delegate may be chosen by vote of the Association in like manner. 

ARTICLE X – AMENDMENTS 

Section 1. Amendments to the Constitution and Bylaws may be introduced at any meeting of the Association, provided they have been previously approved by the Executive Board. 

Section 2. Written notice of the proposed amendment must be emailed to each member’s last known email address at least two weeks before such meeting. At such meeting no changes shall be made that modify the meaning of the proposed amendments as stated in the written notice. 

Section 3. A two-thirds vote of members of the Association present and voting shall be necessary for the adoption of any amendment. The same action shall be required for the suspension of a Bylaw.
